Affiliate Program Contractual Terms and Conditions

These Terms and Conditions (“Agreement”) govern your participation in the LittleLit Affiliate Marketing Program (“Program”), which is managed by Coherence Technologies Inc. (“LittleLit,” “we,” “our,” or “us”), the creators of LittleLit. By submitting the affiliate form and joining the Program, you (“Affiliate” or “you”) agree to the following terms and conditions:

1. Confidentiality & Proprietary Information

You agree to maintain the confidentiality of all proprietary and confidential information provided by LittleLit, including but not limited to marketing strategies, promotional materials, business plans, and customer data (“Confidential Information”). You shall not disclose, distribute, or use Confidential Information for any purpose other than to promote the Program as expressly authorized by LittleLit.

2. Content Creation & Usage Rights

Any content you create and post, including text, images, videos, or other media (“Content”), in connection with the Program is considered your property; however, by participating in the Program, you grant LittleLit a worldwide, irrevocable, royalty-free, perpetual license to use, repurpose, modify, and distribute such Content for marketing, promotional, and other business purposes. This includes, but is not limited to, posting, sharing, or incorporating your Content in LittleLit’s promotional materials, websites, and social media platforms.

3. Promotion Guidelines

You agree to accurately represent LittleLit’s products, services, and values in all promotional activities. All content must adhere to applicable laws, including but not limited to advertising laws and regulations. You may not make any false, misleading, or disparaging claims about LittleLit, its products, or services. Additionally, you must comply with all Federal Trade Commission (FTC) guidelines, including disclosing any material connections in your promotions.

4. Program Offers and Payment Terms

Once you signup for LittleLit affiliate program, you will get:

(1) Free access to LittleLit ( applicable for 1 child only)

(2) LittleLit will provide you will a custom affiliate code (5% Off on LittleLit pricing plan). You can share this code with your audience

(3) You will receive 10% affiliate commission for all the sales completed using your custom affiliate code.

 

Important: A sale is considered to be completed when your audience user completes the trial period, and their credit card is charged and LittleLit receive the full payment.

 

Affiliate commissions will be based on sales tracked through the promotion code provided by the affiliate. LittleLit will calculate and verify commissions based on its internal sales reports. Payments will be made monthly, no later than the 10th of the following month for the previous month's earnings. Payments will be made via the payment method agreed upon in the affiliate application. All payments are subject to applicable taxes.

5. Sales Tracking and Reporting

LittleLit will provide affiliates with access to tracking tools or reports to monitor their sales performance. These reports will be considered the official record for commission payments. Affiliates must notify LittleLit of any discrepancies in the sales reports within 7 days of receiving them. After this period, the reports will be deemed final and binding.

6. No Exclusivity

This Agreement does not grant the affiliate exclusive rights to promote LittleLit’s services. LittleLit reserves the right to work with other affiliates, influencers, or marketing partners.

7. Non-Compete Clause

For the duration of this Agreement, affiliates agree not to promote or represent any products or services that directly compete with LittleLit without prior written consent.

8. Independent Contractor Relationship

Affiliates are independent contractors and are not employees, agents, or representatives of LittleLit. Affiliates have no authority to bind LittleLit in any way and are solely responsible for any taxes, liabilities, or legal obligations arising from their participation in the Program.

9. Term and Termination

This Agreement will remain in effect until terminated by either party. Either party may terminate this Agreement with 30 days’ written notice. LittleLit may terminate this Agreement immediately for breach of terms, including non-compliance with promotional guidelines or misuse of proprietary information.

10. Force Majeure

Neither party shall be liable for failure to perform any of its obligations under this Agreement if such failure is caused by events beyond its reasonable control, including but not limited to acts of God, war, government action, or other unforeseen events.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable therein, with respect to affiliates in Canada, and the laws of the United States for affiliates based in the U.S. Any disputes will be resolved in the competent courts of British Columbia, Canada, or the relevant jurisdiction in the United States.

12. Dispute Resolution

Any disputes or claims arising from this Agreement shall be resolved through arbitration. Arbitration will take place in British Columbia, Canada, or the relevant jurisdiction in the United States, as appropriate. The arbitration will be conducted by a single arbitrator, and the decision will be final and binding.

13. Indemnification and Liability

You agree to indemnify and hold harmless LittleLit and its affiliates, directors, officers, and employees from any claims, damages, losses, or liabilities arising from your participation in the Program, including any content you create, post, or promote. LittleLit’s liability under this Agreement shall be limited to the amount of commissions paid to you in the three months preceding the claim.

14. Intellectual Property

All trademarks, service marks, logos, and other intellectual property related to LittleLit are and will remain the exclusive property of Coherence Technologies Inc. You are granted a limited, non-exclusive, revocable license to use such intellectual property solely in connection with your participation in the Program. You may not modify, alter, or use LittleLit’s intellectual property for any purposes not expressly authorized in writing by LittleLit.

15. Amendments

LittleLit reserves the right to amend these Terms and Conditions at any time. All amendments will be communicated to you, and continued participation in the Program after such amendments shall constitute your acceptance of the revised terms.

16. Contractual Relationship

Your contract for participation in the LittleLit Affiliate Program is with Coherence Technologies Inc., the creators of LittleLit. This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings related to the Program.

By submitting the affiliate form and joining the Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
